These Terms of Service ("Terms") constitute a legally binding agreement between you and Retalyz LLC ("Retalyz," "we," "us," or "our") governing your access to and use of the Retalyz inventory intelligence platform, including our website at retalyz.com and all related services (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.
Retalyz provides an inventory management and purchase order optimization platform for multi-location retail businesses. The Service integrates with supported point-of-sale (POS) systems to analyze sales velocity, generate purchase order recommendations, detect inventory anomalies, and provide business intelligence through dashboards and reports.

You must not share your account credentials with unauthorized individuals. You are responsible for managing authorized users within your organization through the platform's user management features.
To use the Service, you must provide valid API credentials for your POS system (Lightspeed Retail, Lifelong POS, or other supported systems). By providing these credentials, you:
We store your POS credentials securely using encryption. You may revoke access at any time by removing your credentials from the platform or by revoking API access through your POS provider.
New accounts receive a 30-day free trial with full access to the Service. No payment is charged during the trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires.
We reserve the right to modify or discontinue free trial offers at any time.
After the free trial, the Service is billed on a monthly subscription basis. By subscribing, you authorize Retalyz to charge your payment method on a recurring monthly basis through our payment processor, Stripe.
You may cancel your subscription at any time through the portal settings or by contacting us. Upon cancellation, you will retain access to the Service through the end of your current billing period. No prorated refunds are provided for partial billing periods.
We may change subscription pricing with at least 30 days' notice. Price changes take effect at the start of the next billing cycle following the notice period.
You retain all ownership rights to your data. Your POS data, sales records, inventory information, and any data you provide remains yours. We do not claim ownership of your data.
You grant Retalyz a limited license to access, process, and store your data solely for the purpose of providing and improving the Service. This license terminates when your account is closed and your data is deleted.
We may use aggregated, anonymized data (which cannot identify you or your business) to improve our algorithms and service offerings.

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
POS data synchronization depends on the availability of your POS provider's API. We are not responsible for downtime or data gaps caused by third-party POS systems.
Purchase order recommendations, inventory alerts, and analytics provided by the Service are generated algorithmically based on your sales data and are intended as decision-support tools only. They do not constitute business advice. You are solely responsible for all purchasing and inventory decisions. Retalyz is not liable for any losses resulting from acting on recommendations provided by the Service.
To the maximum extent permitted by law, Retalyz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.
Our total liability for any claims arising under these Terms shall not exceed the amount you paid to Retalyz in the twelve (12) months preceding the claim.
You agree to indemnify and hold harmless Retalyz and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
We may suspend or terminate your access to the Service if you violate these Terms, fail to pay subscription fees, or engage in activity that harms the Service or other users. We will provide reasonable notice when possible.
Upon termination, your right to use the Service ceases immediately. Your data will be retained for 90 days to allow for reactivation, after which it will be permanently deleted unless otherwise required by law.
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in California.
We may revise these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform at least 30 days before they take effect. Continued use of the Service after changes are effective constitutes acceptance of the revised Terms.
